On last April 30, the normative instruction 60 of the Department of Commercial Register and Integration – DREI was enacted, allowing accountants and lawyers to declare the authenticity of documents presented at the Commercial Register.
According to the Normative Instruction, the accountant or lawyer of the interested company may declare the authenticity of copies of documents submitted to the Commercial Registers, by means of a written statement accompanied by a simple copy of their professional identification.
The professional signing the form related to the document submitted for registration, along with its professional identification and declaration, shall be considered accountant or lawyer of the interested company.
This new Normative Instruction is in line with the Provisional Measure No. 876/2019, which amended Law 8.934/1994 to, among others, exempt the authentication of documents upon declaration of such authenticity by the interested party's lawyer or accountant.
By virtue of this Normative Instruction, the Manuals of Limited Liability Companies, Corporations, Limited Liability Individual Companies (EIRELI), Cooperatives and Individual Entrepreneurs were changed to reflect this new rule, which becomes effective as of the date of its publication.
